Confidential Information    

“Confidential Information” means all confidential information in oral, written, graphic, electronic or other form including, but not limited to financial, personal, personal identifying and commercial proprietary information, and any other data or information typically and reasonably considered confidential, that is disclosed, whether orally, visually or in writing.   

The use of Confidential Information is strictly limited for the purpose of providing Services under this Agreement. Employee shall safeguard Confidential Information from unauthorized use, access or disclosure using at least the degree of care it uses to protect its most sensitive confidential information. Employee shall not disclose Confidential Information to any third Party unless permitted by the terms of this Agreement. 

Student Information and Confidentiality   

Employee is considered a “school official” under the provisions of the Family Educational Rights and Privacy Act (“FERPA”), 20 U.S.C. §1232g and associated regulations (e.g., 34 CFR § 99.31(a)(1)(i)(B)).  Employee agrees to abide by the limitations on re-disclosure of personally identifiable information from education records set forth in FERPA. Employee is not permitted to use student information for any purpose other than work at UVM.   

Copyright  

All work produced under this agreement is considered “work for hire” as such term is defined under U.S. copyright law. To the extent any such materials do not qualify as “work for hire” under applicable law, and to the extent they include material subject to copyright, patent, trade secret, or other proprietary rights protection, Employee hereby irrevocably and exclusively assigns to UVM, its successors, and assigns, all right, title, and interest in and to all such materials as they appear in the Course.  Employee grants to UVM, for so long as UVM in its sole discretion shall offer the Course, a license to use Employee’s name, likeness and approved professional biography for the purposes of identifying Employee as a contributor to the Course. All documents, video and audio recordings, magnetically or optically encoded media, software, and any other tangible materials created by Employee as part of its services under this Agreement shall be owned exclusively by UVM and may not be used, transferred, displayed or released in any manner or medium by Employee without the express written permission of UVM. 

The parties further agree and acknowledge that Employee, in the performance of the terms of this Agreement, shall draw upon an independent and pre-existing body of knowledge, experience, materials and relationships, to which Employee shall retain personal and professional rights of use, including copyrights to such independent and pre-existing body of knowledge, experience, materials and relationships. This Agreement applies specifically to the Work created for UVM pursuant to this agreement. 

Employee’s course materials shall contain no material from other copyrighted works without the written consent of the copyright holder, which will be provided upon our request. Employee hereby warrants:  

  1. Employee is the sole owner of the course materials, and has full power and authority to make this agreement;  
  1. The course does/will not infringe on any copyright, trademark or other intellectual property rights of any third party; 
  1. The course does/will not violate any rights of publicity or privacy of any third party, or contain any scandalous, libelous, or unlawful matter or content.

Governing Law 

All matters arising out of or relating to this Agreement shall be governed by and construed in accordance with the laws of the State of Vermont, without regard to the choice of law provisions of any jurisdiction. The Parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Chittenden County, Vermont.
